PLEASE CAREFULLY READ THE TERMS OF USE OF TIGER.TRADE COPY MOBILE APPLICATION (“ MOBILE APP”) AS SET OUT BELOW, WHICH IS A LEGALLY VALID AGREEMENT BETWEEN YOU, BEING THE MOBILE APP USER, AND TIGER.TRADE ("USER AGREEMENT") BEFORE TAKING ANY ACTION WITH RESPECT TO THE MOBILE APP. BY USING THE MOBILE APP, YOU AGREE TO THE TERMS AND CONDITIONS BELOW FULLY AND UNCONDITIONALLY, WITHOUT RESERVATIONS OR EXCEPTIONS. IF YOU DO NOT ACCEPT ALL THE TERMS OF THIS AGREEMENT, YOU MAY NOT USE THE MOBILE APP. BY ACCEPTING THIS USER AGREEMENT YOU CONFIRM THAT YOU ARE A PERSON WHO CAN LAWFULLY USE THE MOBILE APP. YOU ASSUME FULL RESPONSIILITY FOR THE OUTCOMES OF YOUR INVESTMENT DECISIONS, INCLUDING CHOOSING AUTOFOLLOWING INVESTMENT STRATEGY. PLEASE READ THE BELOW DISCLAIMER AS WELL AS SECTION 3 CAREFULLY BEFORE CONTINUING. TIGER.TRADE PROVIDES YOU WITH A RIGHT TO USE THE SOFTWARE, COMPRISED OF THE MOBILE APP AND BACKEND SOFTWARE ON THE SERVERS OF TIGER.TRADE. NEITHER TIGER.TRADE NOR ANY OF ITS AFFILIATES PROVIDE FINANCIAL, INVESTMENT, LEGAL, TAX, SECURITIES MARKETS, DIGITAL RIGHTS, DIGITAL CURRENCIES OR ANY OTHER ADVICE OR SERVICE. NEITHER TIGER.TRADE NOR ANY OF ITS AFFILIATES IS A BROKER, INVESTMENT ADVISOR, ASSETS MANAGER OR TAX ADVISOR. NEITHER TIGER.TRADE NOR ANY OF ITS AFFILIATES CARRIES OUT REGULATED ACTIVITIES OR PROVIDE YOU ANY SERVICE OR INVESTMENT ADVICE OR RECOMMENDATION WHICH ARE SUBJECT TO REGULATION OR LICENSING, AND NEITHER TIGER.TRADE NOR ANY OF ITS AFFILIATES IN ANY APPLICABLE JURISDICTION IS SUBJECT TO THE SAME REQUIREMENTS AS EXCHANGES, INVESTMENT PLATFORMS, OPERATORS OF INFORMATION SYSTEMS OR OPERATORS OF EXCHANGES OF DIGITAL FINANCIAL RIGHTS, PROVIDERS OF INVESTMENT ADVICE, SECURITIES EXCHANGES OR ANY PROFESSIONAL SECURITIES MARKET PARTICIPANTS. WHILE SOME TRADERS OR USERS WHOM YOU MAY CHOOSE TO FOLLOW BY MEANS OF THE MOBILE APP MAY OFFER INVESTMENT RECOMMENDATIONS OR OPINIONS IN SOCIAL MEDIA OR OTHER RESOURCES OUTSIDE OF THE MOBILE APP AND OUR WEBSITES, ANY SUCH RECOMMENDATIONS, ADVICE OR OPINIONS SHALL NOT BE REGARDED TO BE ASSOCIATED WITH, VALIDATED BY OR OTHERWISE BESTOWED BY TIGER.TRADE OR ANY OF ITS AFFILIATES.

1. GENERAL PROVISIONS

1.1. Under this User Agreement, Tiger Trade AG, a company registered at 75 Baarerstrasse, Zug 6300, Switzerland ("Tiger.Trade" or "we"), provides users of the Mobile App, which have opened account with Binance, passed Binance KYC and provided API key to Tiger.Trade, ("App User" or "you") with the opportunity to use the Mobile App and the solution enabling following of other trader’s trading strategies available through the Mobile App, on the terms set forth in this User Agreement.

1.2. The User Agreement comes into force from the moment you express your consent to its terms by tapping START button in the Mobile App.

1.3. The User Agreement and any of its provisions may be amended or terminated by Tiger.Trade at any time at its own discretion. We will notify you about the new version of the User Agreement no later than 5 calendar days before its entry into force. If you do not agree with any changes to the User Agreement, you shall stop using and uninstall the Mobile App from the moment the new version of the User Agreement enters into force. If you proceed with using the Mobile App upon the new version of the User Agreement comes into force, you shall be deemed to have consented to such new version in its entirety.

2. SCOPE OF MOBILE APP FUNCTIONALITY

2.1. The Mobile App enables the App Users to follow investment strategies (trading activities) of certain other persons acting as the “Subscribers” or as the “Traders” (sharing their own strategy with the Subscribers). Following investment strategies (trading activities) available to a Subscriber are specified in clause 2.3 below. Respective activities available to a Trader are specified in clause 2.6 below.

All transactions in frames of following investment strategies (trading activities) of Traders with the help of the Mobile App are performed solely on your Binance wallet. By accepting this User Agreement and (or) providing you API key pertaining to your wallet opened and maintained with Binance (“Connected Wallet”) you permit and authorize Tiger.Trade to access and process all information about all transactions carried out through the Connected Wallet and take other actions with respect to your Connected Wallet needed for performance of this User Agreement.

Subscribers

2.3. Once the sign-in process (including the Binance wallet connection) is completed, the Mobile App allows the Subscriber to:

a) review the Subscriber’s own portfolio and statistics of assets and transactions in the Connected Wallet, and settings;
b) search through the list of available Traders;
c) access the selected Trader’s profile created by the Trader with the help of the Mobile App and containing some information provided by the Trader;
d) review the selected Trader’s trading history, rankings and other information about the Trader’s performance derived from his/her Connected Wallet;
e) initiate following of the Trader’s transactions, meaning that orders placed by the Trader using his/her Connected Wallet will be tracked by the Mobile App and similar orders will be placed in the Subscriber’s Connected Wallet using Binance API framework ( “Follow”, “Following” or “Following Activity”);
f) change the starting and the maximum aggregate amount of transactions for which the aforesaid similar orders can be placed in the in the Subscriber’s Connected Wallet using Binance API framework in frames of the Following Activity in relation to particular Trader selected by the Subscriber;
g) stop Following a certain Trader at any given time, after which no new orders that are Following such Trader’s transactions will be placed on Binance through Subscriber’s Connected Wallet, but any orders which had been placed prior to such stop would be performed, unless specially cancelled by the Subscriber;
h) close all open positions, stop Following all the Traders or close API access to the Subscriber’s Connected Wallet at any given time; and
i) perform other actions which may be made available to the Subscribers through the user interface of the Mobile App from time to time, in each case, subject to the terms of the User Agreement.

2.4 The Following Activity available for the Subscriber subject to the following conditions:

a) required Starting Amount (as defined below) must be available on the Subscriber’s Connected Wallet to Follow transactions of respective Trader;
b) the Subscriber shall only have USDT amounts available (no coins or tokens shall be placed in your Connected Wallet) to start Following; and
c) the Subscriber can only Follow the orders that were placed by the Trader using his/her Connected Wallet after the moment the Subscriber started the subscription for the Trader.

Traders

2.5 Based on the past performance assessment, Tiger.Trade may (but is not obliged to) inform the App User about opportunity to switch from the Subscriber to the Trader and the App User may then request Tiger.Trade to switch him/her from the Subscriber to the Trader role functionality within the Mobile App, such switch being made at the App User’s discretion only and at its own risk.

2.6 The Mobile App allows the App User which is a Trader to:

a)review the Trader’s own portfolio, statistics, open positions, history, number of Subscribers, and settings;
b) edit the Trader’s own profile available for the Subscribers;
c) edit the starting amount required for the Subscribers to initiate Following of the Trader’s orders placed by the Trader at the Trader’s Connected Wallet (“Starting Amount”);
d) share the Trader’s transactions, meaning that the orders placed by the Trader at the Trader’s Connected Wallet will be tracked by the Mobile App and notified or made available to App Users, and for those Subscribers who opt to Follow the Trader the similar orders will be placed in Subscribers’ Connected Wallets using Binance API framework;

e) switch back to the Subscriber’s role following the procedure provided by the Mobile App; and

f) perform other actions which may be made available to the Traders through user interface of the Mobile App from time to time, in each case, subject to the terms of the User Agreement.

2.7. The switching of the Subscriber to the Trader role functionality is only available subject to the following conditions:

a) Tiger.Trade, in its sole discretion, informed the Subscriber of the opportunity to become the Trader;
b) the Trader is not allowed to Follow other Traders after switching;
c) the switching Subscriber shall close all open positions opened through his/her Binance wallet, which he/she intends to designate as the Connected Wallet prior to switching; and
d) the Subscriber, by choosing to switch to the Trader role functionality, expressly and unconditionally consents to and empowers Tiger.Trade to access, store, publish and process information about any and all transactions carried out by the Trader through his/her Connected Wallet, as well as to prepare and publish via Mobile App and respective web-site aggregated information and analytics about the Trader’s performance on Binance.

2.8 The Trader undertakes to comply with the rules of using the Mobile App as the Trader. Namely, the Trader shall not:

a) manipulate trading strategies or participate in any fraudulent or manipulative activity;
b) present himself/herself as a representative, agent, affiliate or connected person with Tiger.Trade;
c) make any statements, recommendations, calculations, or obligations on behalf of Tiger.Trade or in connection with or in relation to the Mobile App; and
d) promise or guarantee any sort of returns of investment.

3. DISCLAIMER AND RELATED PROVISIONS

3.1 TIGER.TRADE PROVIDES YOU WITH A RIGHT TO USE THE SOFTWARE, COMPRISED OF THE MOBILE APP AND BACKEND SOFTWARE ON THE SERVERS OF TIGER.TRADE, THE KEY FUNCTION OF WHICH IS CARRYING OUT OF THE FOLLOWING ACTIVITY WHICH YOU MAY OPT FOR AT YOUR DISCRETION AND YOUR SOLE RISK. ONCE YOU CHOOSE TO START THE FOLLOWING ACTIVITY IT IS GOING TO BE PERFORMED BY THE SOFTWARE IN A FULLY AUTOMATED MANNER WITHOUT ANY MANUAL INTERVENTION ON THE PART OF TIGER.TRADE, ALTHOUGH YOU MAY STOP THE FOLLOWING ACTIVITY AT YOUR DISCRETION AT ANY TIME IN THE MANNER DESCRIBED IN THIS USER AGREEMENT AND IN THE USER INTERFACE OF THE MOBILE APP.

3.2 ALL ORDERS IN FRAMES OF THE FOLLOWING ACTIVITY ARE PLACED AUTOMATICALLY IN YOUR CONNECTED WALLET ONCE YOU INITIATE SUCH FOLLOWING ACTIVITY USING THE MOBILE APP INTERFACE WITHOUT ANY ADDITIONAL REQUESTS FOR CONFIRMATION BY YOU OR OTHER MEANS OF PRIOR AUTHORIZATION BY YOU. YOU UNDERSTAND AND AGREE THAT THE AUTOMATED TRANSACTION EXECUTION MEANS ORDERS ARE OPENED AND CLOSED IN YOUR CONNECTED WALLET WITHOUT YOUR MANUAL INTERVENTION

3.3 WHEN MAKING A DECISION TO START THE FOLLOWING ACTIVITY YOU SHOULD NOT RELY SOLELY ON INFORMATION DISPLAYED IN THE MOBILE APP OR OUR WEBSITES, ANY SUCH INFORMATION AVAILABLE, FOR EXAMPLE, PERFORMANCE INDICATORS, MAY NOT ALWAYS BE ACCURATE, UP-TO-DATE, RELIABLE OR APPROPRIATE FOR YOUR NEEDS. ANY PAST PERFORMANCE OF ANY TRADERS OR OTHER USERS, STATISTICS AND ANY OTHER INFORMATION WITH RESPECT TO TRADERS OR OTHER USERS WHICH MAY APPEAR IN THE MOBILE APP OR OUR WEBSITES ARE NOT INDICATIVE OF FUTURE PERFORMANCE AND SHOULD BE CONSIDERED AS PURELY HYPOTHETICAL. FURTHERMORE, STATISTICAL INFORMATION, ANY SCORES CALCULATED ON ITS BASIS OR ANY OTHER INFORMATION ABOUT HISTORICAL PERFORMANCE ARE NOT A GUARANTEE OF FUTURE PERFORMANCE. NO GUARANTEE OR REPRESENTATION IS MADE THAT ANY TRADER OR OTHER USER IS LIKELY TO ACHIEVE PROFITS OR RESULTS SIMILAR TO THE RESULTS SHOWN IN THE MOBILE APP OR OUR WEBSITES. YOU SHOULD NOT MAKE ANY INVESTMENT DECISION WITHOUT CONDUCTING YOUR OWN RESEARCH ABOUT TRADERS, THEIR STRATEGIES AND RESPECTIVE INVESTMENT. YOU ARE SOLELY RESPONSIBLE FOR DETERMINING WHETHER ANY INVESTMENT, STRATEGY, TRADING SIGNALS OR ANY SERVICE ARE APPROPRIATE OR SUITABLE FOR YOU ACCORDING TO YOUR OBJECTIVES AND PERSONAL SITUATION.

3.4 HOLDING, PURCHASING, SELLING DIGITAL ASSETS, INCLUDING WITHOUT LIMITATION TOKENS, CRYPTOCURRENCY, DIGITAL RIGHTS, DIGITAL CURRENCY, ALTCOINS, DIGITAL ASSETS OR OTHER ASSETS BASED ON DISTRIBUTED LEDGER TECHNOLOGY, INVOLVES SIGNIFICANT RISKS AND HAS POTENTIAL FOR SIGNIFICANT FINANCIAL LOSSES, WHICH MAY EXCEED THE AMOUNT OF YOUR INVESTMENT. THE FOREGOING ACTIVITIES WHEN CARRIED OUT THROUGH COPYING, FOLLOWING OR MIRRORING OF TRADING SIGNALS OR TRADING ACTIVITIES (STRATEGIES) OF OTHERS IS SUBJECT TO FURTHER INCREASED RISKS, INCLUDING THE RISKS OF TRADERS OR OTHER SOURCE OF TRADING SIGNALS PERFORMING FRAUDULENT ACTIONS OR SCAMMING. THIRD PARTIES’ STRATEGIES AND TRADE SIGNALS CAN BE MEANINGLESS, NON-CORRECT OR FRAUDULENT.

3.5 YOU SHOULD NOT ASSUME THAT ANY TRADERS OR ANY OTHER USERS ARE UNBIASED, INDEPENDENT OR QUALIFIED TO CARRY OUT TRADING OF DIGITAL ASSETS. AUTOMATED FOLLOWING OF A THIRD PARTY’S TRADING STRATEGY, INCLUDING COPYTRADING, IS HIGHLY SPECULATIVE, INHERENTLY RISKY, AND YOU COULD SUSTAIN SIGNIFICANT LOSSES.

3.6 NEITHER TIGER.TRADE NOR ANY OF ITS AFFILIATES, EMPLOYEES OR AGENTS STORE, POSSESS OR MANAGE YOUR ASSETS. THE MOBILE APP DOES NOT EXECUTE ANY ORDERS FOR SALE AND(OR) PURCHASE OF ASSETS OR CONCLUSION OF CONTRACTS (SUCH AS DERIVATIVE CONTRACTS), EXECUTION OF ANY SUCH ORDERS IS PERFORMED SOLELY BY CRYPTO EXCHANGE OR OTHER PLATFORM AT WHICH YOUR CONNECTED WALLET IS OPENED AND MAINTAINED. NEITHER TIGER.TRADE NOR ANY OF ITS AFFILIATES, EMPLOYEES OR AGENTS HAVE ANY CONTROL OVER SUCH CRYPTO EXCHANGES OR OTHER PLATFORMS, SHALL BE ASSOCIATED WITH ANY OF THEM OR MAY BE HELD LIABLE FOR ANY LOSSES AND(OR) DAMAGES YOU MAY INCUR AS A CONSEQUENCE OF EXECUTION OR FAILURE TO EXECUTE ANY ORDERS CONVEYED TO SUCH CRYPTO EXCHANGES OR OTHER PLATFORMS. TIGER.TRADE CONVEYS SUCH ORDERS TO CRYPTO EXCHANGES AND OTHER PLATFORMS USING FULLY AUTOMATED API INTERFACES MADE AVAILABLE BY THEM.

3.7 You understand and agree that:

a) orders placed when Following the Trader may be subject to delays or other conditions affecting transmission or execution of orders (e.g., proper queuing of execution of the orders, system processing delay or failure, mechanical or electronic failure, market conditions, including in terms of liquidity and volatility). Tiger.Trade shall have no liability for any such delays or other conditions affecting the price of the order or the ability to place it;
b) placing additional orders in your Connected Wallet or modifying or cancelling existing orders opened in the course of the Following Activity may lead to a materially different result than the result achieved by the Trader that you Followed and whose transactions you Followed. In addition, any orders other than those placed through the Mobile App may result in incorrect display of open positions and your trading results.

3.8 SIGN IN AND USE OF THE ACCOUNT to be able to use the Mobile App functionality, you need to go through the sign-in procedure, as a result of which a unique account within Tiger.Trade systems will be created for you. By signing in, you confirm that you are of legal age and capable person, and there are no other restrictions in relation to you that impede the registration procedure and use of the Mobile App functionality. The registration as an App User can only be made for yourself, not on behalf of or in the interest of any person other than yourself, by registering as the App User you confirm that the registration and the use of the Mobile App is made and will continue to be made solely for your own benefit.

3.9 To sign in you undertake to provide accurate and complete information about yourself as set out in the sign-in form, using the details of your Google, Twitter, Facebook, or Apple account, and to keep this information up to date. The procedure for processing information provided by the App User is governed by the Policy on the processing of personal data ("Privacy Policy").

3.10 The sign in procedure also requires connecting your Binance wallet through the API key framework. Please note that for the proper performance of the Mobile App your Connected Wallet shall only have USDT amounts available (no coins or tokens shall be placed in your Connected Wallet) when starting Following.

Use of account

3.11 The App User does not have the right to reproduce, repeat, copy, sell, and resell, as well as to use the Mobile App for any purposes beyond using functions readily available through its user interface.

3.12 Tiger.Trade does not accept or allow account transfers. It is prohibited to purchase, sell, donate, or exchange accounts, or offer to purchase, sell, donate, or exchange any account. Any such attempts will be void and invalid. You may not hold Tiger.Trade liable for any loss or other liability resulting, directly or indirectly, from any account transfers or purported account transfer.

3.13 You are responsible for maintaining adequate security and control of all information and devices that you use to access the Mobile App, including access to the accounts you used to sign in the Mobile App. You are prohibited from transferring, sharing, or providing your account information to anyone. Any dissemination of login credentials with respect to your account may lead to the suspension or termination of your access to the Mobile App without reimbursement of any costs. We assume no responsibility for any loss that you may sustain due to compromise of your device or your App User (the Subscriber’s, the Trader’s) account as well as providing access to any third party to your account with the Mobile App.

4. TERMINATION OF THE USER AGREEMENT

4.1 This User Agreement is valid until terminated. You can terminate the User Agreement by closing all open positions though the Mobile App, disconnecting the API access to the Connected Wallet and deleting your App User account by sending a written request to the email address of the support service{' '} copytrading.support@tiger.com. Notwithstanding the termination of the Agreement and deletion of the App User account Tiger.Trade may, but does not commit to, store information about all transactions (order) carried out by the App User and other information relating to the App User’s activities for up to three years unless a different term is imposed by applicable regulations.

4.2 Tiger.Trade has the right to terminate this User Agreement and (or) temporarily or permanently suspend your access to the Mobile App at its own discretion, including but not limited to if you violate the terms of this User Agreement, or if Tiger.Trade has a reason to believe that your account is being used by other person, and the termination will take effect immediately and without prior notice.

5 TERMS OF USE OF THE MOBILE APP

5.1 Tiger.Trade has the right to send informational messages to the App Users. Such information messages are used, among other things, to provide a better understanding of the App Users’ needs, provide the App Users with information about the most suitable conditions for using the Mobile App, improve the quality of informing the App Users about all emerging issues and familiarizing the App Users with Tiger.Trade news.

5.2 The App Users are liable to third parties for their actions related to the use of the Mobile App, including if such actions lead to a violation of the rights and legitimate interests of the third parties, as well as for compliance with the applicable legislation (including tax legislation, legislation governing digital assets, legislation on the securities market, legislation governing the provision of financial services) when using the Mobile App.

5.3 When using the Mobile App, the App Users are not entitled to:

a) illegally collect or store other persons’ personal data;
b) interfere with normal operation of the Mobile App;
c) assist with any actions aimed at breaching any restrictions and prohibitions set by the User Agreement;
d) manipulate trading strategies, or participate in any fraudulent or manipulative activity; or
e) otherwise violate the law, including the laws of any other applicable jurisdiction which you are not the resident of.

7 EXCLUSIVE RIGHTS TO THE MOBILE APP CONTENT

7.1 Any and all objects made available through the Mobile App or located in the Mobile App, including design features, text, images, artwork, videos, computer software, databases, music, sounds, and other objects, and any content posted in the Mobile App are exclusively owned by Tiger.Trade and other titleholders. Tiger.Trade has the necessary rights to display all content which is available in the Mobile App. You agree that you shall not have any exclusive rights or any other rights to any content, including, without limitation, any rights to an account and any details relating to any account, as well as any rights to the information that you keep in the Mobile App.

7.2 The content and any other elements of the Mobile App may be used only insofar as reasonably required to use the Mobile App functionality. No elements of the Mobile App content, or any content placed in the Mobile App, may be used in any other manner.

8 THIRD PARTY SITES AND CONTENT

8.1 The Mobile App may contain references or links to websites (including third party sites, e.g., Binance). Such third parties and their content are not modified or checked by Tiger.Trade for compliance with any requirements (accuracy, completeness, legality, etc.).

8.2 Tiger.Trade shall not be liable for any information or materials on the third party sites and shall not assume any obligations in connection with the use or impossibility to use or rely on such information or materials on the third party sites, or goods or services available on such sites to which the App User obtains direct or indirect access using the Mobile App, including any opinions or statements on the third party sites, advertising, etc., as well as the availability of such sites or content and the consequences of their use by the App User. You shall make your own and independent assessment of any information or materials available on such third-party sites.

8.3 Reference (in any form) to any site, product, service, or any information of a commercial or non-commercial nature in the Mobile App shall not constitute endorsement or recommendation of such products/services/activities by Tiger.Trade.

9 CONFIDENTIALITY

9.1 Our Privacy Policy includes additional requirements and terms and conditions regarding possible use, collection, and disclosure of your personal data. You acknowledge that you have read, accepted, and understood our Privacy Policy, its requirements, as well as its terms and conditions prior to or simultaneously with entering into this User Agreement.

10 NO WARRANTIES, LIMITAION OF LIABILITY

10.1 Tiger.Trade shall not be liable for any losses (whether actual losses or loss of profits) arising from the use of the Mobile App or certain parts/functions thereof by the App User.

11. MISCELLANEOUS

11.1 This User Agreement constitutes a contract between the App User and Tiger.Trade regarding the use of the Mobile App and supersedes all previous agreements between the App User and Tiger.Trade.

11.2 This User Agreement shall be governed by the laws of the Russian Federation and the mandatory rules of the laws of the App User's place of residence insofar as they cannot be overridden by the choice of Russian law as the governing law of this User Agreement.

11.3 Nothing in this User Agreement shall be construed as creating between the App User and Tiger.Trade any agency, partnership, joint venture, relationship of employment, or any other relationship not expressly stipulated in the User Agreement.

11.4 If, for whatever reason, one or more provisions of this User Agreement are deemed to be invalid or unenforceable, this shall not affect the validity or enforceability of any other provisions of this User Agreement.

11.5 Any delay or failure by Tiger.Trade to use any of the rights or remedies available to it under this User Agreement or otherwise shall not operate as a waiver and shall not cause Tiger.Trade to forfeit its right to take appropriate actions to protect its rights later.

Setting up the platform
